1. Scope and acceptance
These Terms and Conditions ("Terms") govern your access to and use of (a) the website at swivo.io and any other websites operated by Swivo Technologies Pvt Ltd ("Swivo", "we", "us"); and (b) Swivo MediNotes, our clinic management, electronic medical records, booking and payment platform, including any web or mobile applications and APIs (together, the "Platform"). The website and the Platform are referred to collectively as the "Services". By accessing or using the Services, you agree to be bound by these Terms. If you are using the Platform on behalf of a clinic, hospital or other organisation, you confirm that you are authorised to accept these Terms on its behalf. If you do not agree, do not use the Services.

2. Accounts
To use the Platform you must register for an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account, including activity by staff or other users you have authorised. You must notify us promptly at contact@swivo.io of any unauthorised access. We may suspend or close accounts that are inactive, used in breach of these Terms, or created with false information.

3. Use of the Services
You may use the Services for lawful purposes only and in accordance with these Terms. You must not: (a) transmit or store any material that is unlawful, defamatory, obscene or infringes third-party rights; (b) attempt to gain unauthorised access to the Services, other users' accounts or our systems; (c) reverse engineer, copy, resell or sublicense the Platform or any part of it; (d) introduce malware or interfere with the performance or security of the Services; (e) use automated means to scrape or extract data from the Services without our written consent; or (f) use the Platform to store or process data for which you do not have the necessary consents or legal authority.

4. Healthcare providers and clinical responsibility
The Platform is a software tool provided to healthcare providers ("Clients"). Swivo does not provide medical advice, diagnosis or treatment. Clients remain solely responsible for all clinical decisions, the accuracy of records entered into the Platform, compliance with professional and regulatory obligations applicable to their practice, and the care of their patients. Any AI-assisted features are intended to support, not replace, professional judgement, and their output must be reviewed by a qualified practitioner before being relied upon.

5. Data and privacy
Our collection and use of personal data is described in our Privacy Policy, which forms part of these Terms. As between Swivo and a Client, the Client is the data fiduciary (or equivalent controller) of patient data entered into the Platform, and Swivo processes that data on the Client's instructions as a data processor. Clients are responsible for obtaining all consents and providing all notices required under the Digital Personal Data Protection Act, 2023 and any other applicable law before entering patient data into the Platform. We implement reasonable technical and organisational security measures, but no system is completely secure and you acknowledge that you use the Services at your own risk in this respect.

6. Intellectual property
All content, software, designs, trademarks, logos and other materials comprising the Services are the property of Swivo or its licensors and are protected by intellectual property laws. Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for your internal business purposes during your subscription. You may not use or reproduce any part of the Services without our prior written consent. You retain ownership of the data and content you enter into the Platform, and grant us a licence to host, process and display it solely as necessary to provide the Services.

8. Availability and support
We aim to keep the Platform available at all times but do not guarantee uninterrupted or error-free operation. We may suspend access for maintenance, upgrades or security reasons, and will give reasonable notice where practicable. Support is provided as described in your subscription plan.

9. Termination and data return
Either party may terminate a subscription in accordance with Section 7. On termination, your right to use the Platform ends. You may export your data through the Platform's export tools before termination, or request a copy from us within 30 days after termination, after which we may delete it in accordance with our data retention practices and applicable law. Sections 4, 5, 6, 10 and 12 survive termination.

 

10. Limitation of liability
The Services are provided "as is" and "as available". To the fullest extent permitted by law, we make no representations or warranties of any kind, express or implied, as to the operation of the Services or the information, content, materials or products included in them. We will not be liable for any indirect, incidental, special, punitive or consequential damages, or for any loss of data, revenue or profits, arising from the use of or inability to use the Services. Our total aggregate liability to you in connection with the Services in any twelve-month period shall not exceed the fees paid by you to Swivo in that period. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

 

11. Third-party links and services
The Services may contain links to, or integrate with, third-party websites and services (including Stripe and e-prescribing, messaging or payment providers). We are not responsible for the content, availability or privacy practices of these third parties. We encourage you to read their privacy policies and terms of use.

 

12. Governing law and disputes
These Terms are governed by the laws of India. Subject to any mandatory rights you may have under the laws of your own country, the courts at Mumbai, Maharashtra shall have exclusive jurisdiction over any dispute arising out of or in connection with the Services.

 

13. Changes to these Terms
We reserve the right to update or modify these Terms at any time. For material changes affecting Platform subscribers, we will provide notice by email or within the Platform. Your continued use of the Services after any such changes signifies your acceptance of the updated Terms.
